Global Sun Partners JSC(以下、当社とする)は、本報告書の記載内容に関して生じた直接的、間接的、派生的、特別の、付随的、あるいは懲罰的損害及び利益の損失については、それが契約、不法行為、無過失責任、あるいはその他の原因に基づき生じたか否かにかかわらず、一切の責任を負わない。これは、たとえ、当社がかかる損害の可能性を知らされていても同様とする。 もくじ 1.ベトナムの概要 2.輸出を始めるにあたって 3.販売委託先選定のステップ 4.決済方法 5.現地派遣 1. ベトナムの概要 国名 ベトナム社会主義共和国 (Socialist Republic of Viet Nam) 面積 32万9,241 km2 (出所)日本外務省 人口 9,170万人 (出所)2016/ベトナム統計総計局 平均年齢 30.4歳 (出所)2015/国連データ 平均寿命 80.7歳(世界38位) (出所)2016/WHO世界保健統計 首都 ハノイ 民族 キン族約86%、他53の少数民族 (出所)日本外務省 言語 ベトナム語 宗教 仏教、カトリック、その他 (出所)日本外務省 識字率 94.5% (出所)2015/出所：UNESCO 図 1 ベトナムの地形 58省・5中央直轄市(ハノイ、ホーチミン、ダナン、ハイフォン、カントー) (出所)日本外務省 2. 輸出を始めるにあたって ベトナムは、人口9,170万人、南部最大都市ホーチミン市では1人あたりGDPが5,000ドルを超え、安い人件費を求めた生産拠点としてだけでなく、近年、市場としても注目されている。ベトナムに生産拠点を持つ企業が内販をするだけでなく、拠点を持たず日本などベトナム国外から輸出し、ベトナム市場に参入する企業も増加している。しかしながら、実際の市場はまだまだ成熟しておらず、知られている商品群も少なくマーケティングに時間とコストがかかることや、現地の人に受け入れられない。また、代理店から資金回収ができないなど、懸念事項が多いことも注意が必要であり、輸出を始める前に、十分なリスク回避対策も検討しなければならない。 図 2 ベトナムと南部における人口推移(人) (出所)ベトナム統計総計局 図 3 ベトナム全国とホーチミン市における1人当たりGDPの推移(ドル) (注意)2016年HCM(ホーチミン市)は未発表 (出所)IMF、ホーチミン市総計総局から作成 日本製品はというと、ベトナムでは安心や安全、健康を求める傾向があり、好印象である。一方で、高価格というイメージも並行してある。すなわち、高級ではない食品や飲料、サプリメントや化粧品などは輸出にも向いていると考えられる。一方、高級食材や日本独自の文化に関する商品は市場が小さいため事前によく検討が必要である。 さらに、工業国を目指してはいるものの、非常に限られた産業構造で幅が広くないことや、原料がなく加工が中心であること、技術力が特別高くないことなども現状としてある。日本の技術は良いというイメージはあるが、それがベトナム市場とマッチするのか、将来的にどれくらいのニーズが見込めるかなども十分に調査が必要である。 従い、日本での成功事例、諸外国での成功事例にとらわれず、しっかりとベトナムの現状と向き合い、進出をされて欲しい。 3. 販売委託先選定のステップ 続いて、本章では販売委託先選定の流れや注意点を紹介する。 ベトナムの多くの販売代理店は、輸入代理店や小売など複数の業態を兼ねていることが多い。 図 4 販売委託先選定のステップ a. 代理店候補探索 パートナーとなる、販売店や販売代理店候補を探す際には、ジェトロや現地のコンサルティング会社、商工会議所などにアプローチして現地で代理店となりうる企業の情報を入手する。どのような業種で、どのような特徴のある企業を希望するか、また、絶対譲れない点(MUST)や譲れる可能性もあるが欲しい点(WANT)を明確にしておくと良い。 ベトナム企業は、自社のホームページを持つ企業も多いが、ベトナム語のホームページしかない企業も数多く存在する。更新がされていないことや、実情に反する情報を掲載していることもあるため、参考程度に留め全部を鵜呑みしないようにしたい。 また、ベトナム企業の多くは、ベトナム語での取引を好む。企業の体制によっては、英語での取引が可能なところもある。ごく稀に日本語も可能なところがある。従い、初コンタクト段階からベトナム語(または英語)の資料の準備やコミュニケーション能力が必要となる。日本と比較し、わからない場合に放置することやメールを返信しないことなどは多く見受けられるため、積極的なコミュニケーションが求められるかもしれない。ならびに、ベトナム語通訳によるサポートが必要な場合もあるかもしれない。 b. 現地視察・商談 情報収集後、実際に代理店候補の企業を訪問し商談をするアポイントを取得する。アポイント失念や突然のキャンセルは日本と比較し多いため、リマインドやそのような心構え、代替案もあると良い。100%思い通りにはいかないことがほとんどである。商談の際は、どのような会社でどのような方針で、ベトナムでどんなことをしていきたいかの想いを具体的に伝えると良い。忘れてはならないのは、日本では知名度が高くてもベトナム企業にとっては知らないこと初めて聞くが多いことである。メールは英語でできても面談はできないという担当者も多いことから、事前にベトナム語通訳の有無の確認は必要。その上、外国人や外国語同士でのコミュニケーションとなるため、言葉だけではなく、写真や動画、サンプルなど視覚からの情報がとても有効的である。 都心部でも鉄道など公共交通機関は整備されておらず、移動手段は、運転手付レンタカーやタクシーである。場所がわからなくなった場合や予期せぬ渋滞などに備え、ベトナムで使える携帯電話の準備が必要。SIMが安く手に入るので、SIMフリー携帯やベトナムで使用できるWiFiルーターのレンタルをおすすめする。 c. 見積り依頼 現地視察・商談を通し合格した企業に見積り依頼をする。この際、船積み条件や支払条件、その他条件などを明確にし、見積りを依頼するとスムーズである。 d. 販売委託先との契約 海外との取引において契約書の重要性は高く、日本の感覚での紳士協定は危険であることを理解した上で、専門家に相談するなどして、適切なものを作成することが勧められる。また、ベトナム企業との契約のため、 越語を含む複数言語とすることが望ましい。 1)契約形態 主に、販売店契約と販売代理店契約がある。実務上必ずしも明確に類型化されているわけではないが、傾向として、前者の場合、販売店が売主から商品を買い取り、自ら在庫リスクを取って商品を販売する取引を指す場合が多い。他方、後者は、商品販売の仲介をすることで、販売実績に応じてコミッションを受け取るもので、代理店は在庫リスクを取らない(返品可)取引を指す場合が多い。また、売買基本契約や取引件数が少ない場合個別の売買契約、販売委託契約等が選択される場合もある。 2) 契約書の作成 ベトナムにおける民法や商法等の民事法令と日本におけるそれとの間には劇的な相違はなく、日本企業が通常用いる海外取引向けの契約書のフォームをアレンジすることで対応できる場合も多い。但し、重要な契約については勿論弁護士等現地法令の専門家の助言の下作成すべきである。準拠法や裁判管轄、優先言語等考慮を要する事項も多いからである。専門家に作成を依頼する場合、自社が海外や日本国内における同種取引で通常使用しているフォームを提示すると、時間やコストの節約になり、また出来上がった契約書が自社の実務により即したものとなる場合が多い。なお、特に優先言語をベトナム語とする場合には、日本語や英語とベトナム語との齟齬を逐一点検する必要があり、言語間の齟齬の防止という観点からも専門家の助言を仰ぐ必要性が高まる。 e. 輸入許可・商品登録 仕出地から輸出される前や仕向港到着時、ベトナムへの輸入通関時、ベトナム国内流通前に、必要な手続きや書類などがある。これから商品により異なるため、輸出前に品目ごとの必要事項を確認する必要がある。同類の商品を扱う代理店に経験があれば、それらの手続きを一任すると良い。一方、経験や知識のない代理店と取引する際は、時間や費用に余裕を持ち挑む心構えが必要である。また、その場合の費用負担についても事前に協議が必要かもしれない。 例えば、食品の場合、「食品登録」と呼ばれる手続きが必要である。大きな流れは、書類確認、ラベルの翻訳、保健省にサンプリング方法の確認、サンプルリング、サンプル結果とラベルの翻訳内容を登録、登録完了後、船積み、検疫、通関である。保健省にサンプリング方法の確認とあるように、アイテムごとに必要書類や手続きが異なるため、それぞれ確認をする必要がある。 f. 出荷・通関手続き 上述したように、輸入時の手続きも複雑な場合があるため、日本またはその他国からの輸出手続きや、ベトナムでの輸入手続きは、現地に精通しているまたは、現地にパートナーがおり経験や知識がある物流会社を通して行うと良い。 4. 決済方法 売買契約における支払い形式の法令上の規定はなく、両当事者の合意によって決めることができる。ベトナム企業との取引における実務上では、T/T(Telegraphic Transfer Remittance)が多く、L/C(Letter of Credit)はあまり一般的ではない。T/Tの場合、取引銀行の送金手数料や経由銀行での手数料など事前にわかりにくい費用がかかる可能性があり、それら費用をどちらが負担するかなども事前に確認しておきたい。 さらに、日本人にはあまり馴染みがないかもしれないが、前金の要求も一般的にある。資金回収のリスク軽減も考え、30%〜50%の前金を要求することも検討したい。さらに、取引が間もない場合や相手の信用度合いにより、一括払いではなく、数回に分けた分割払いにすることでリスク軽減をする企業も一定数存在する。 5. 現地派遣 残念ながら、「代理店と契約をすれば、売れる。」というわけではない。経験が豊富な代理店であれば、知識や経験を使い、ある程度は販売するが、日本側が想定しているように商品が売れないこともごく普通にある。そのため、マーケティングや販促活動は日本からの支援が必要になるケースも多い。もちろん出張ベースでも可能だが、定期的な代理店との交渉や現地の市場調査のため現地法人や駐在員事務所を設立する企業も存在する。余談かもしれないが、外務省が2014年に発表した日本企業駐在出張所数のトップ国はベトナムだったことからも、代理店支援のニーズも少なからず影響していると考えられる。しかし、2016年3月に駐在員事務所の外国企業の駐事等の設立に関する詳細規定「Decree 07/2016/ND-CP」が施行され、駐在員事務所の活動範囲が「連絡」、「市場調査」、「本社(外国法人)の事業促進」と定められ、活動内容に対する規制が厳しくなる傾向にはある。どのような形で現地派遣するかも検討されたい。 以上
